Please read these Terms and Conditions ("Terms") carefully before using the Companyscout services and platform (the "Services") operated by Companyscout ("us", "we", or "our").
Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. By using the Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.
These Terms covers the contractual relationship between CompanyScout and the User.
By registering for an account as well as using the Services, the User agrees to be bound by these Terms, which shall continue to apply for as long as the User is subscribing for an account or using the Services.
To use the Services, each User must be affiliated with a company, either by establishing the company or being invited to be affiliated with an already established company. The User is responsible for the conduct of its affiliated users of the Services in accordance with the Agreement.
CompanyScout reserves the right to update and change these Terms of Service from time to time without notice. CompanyScout also reserves the right to update and change the Services from time to time without notice, including removing or adding features, resources or applications from the Services. Any changes shall be subject to the Agreement. The User's continued use of the Services after any changes to the Agreement, shall constitute the User's consent to such changes.
Violation of any Terms or conditions may result in the termination of the User's account.
To use the Services, it is required to subscribe for an account on the Service.
The User must be at least 18 years of age.
The Services are offered exclusively for business purposes.
Maintaining proper security surrounding system access is solely the responsibility of the User. CompanyScout accepts no responsibility for any damages occurring due to unsafe computing, including, without limitation, improper password protection, sharing of accounts, unencrypted data transfers etc.
The User is responsible for all activity and interaction with the Services undertaken its account.
CompanyScout reserves the right to suspend or disable an account at its discretion and without any penalty or liability whatsoever and to remove and discard all or any part of the account at any time and without prior notice.
Payments for the Services are due monthly, based on your usage, or whenever your outstanding balance reaches €20. Failure to make timely payments will result in suspension of the Services until the outstanding balance is paid in full.
You agree not to bypass or attempt to bypass any security measures in place for the Services. You are not allowed to cache the results of the Services. Excessive frequent requests to the Services may result in a temporary or permanent ban from using the Services and the Platform. Companyscout, at its sole discretion, reserves the right to determine abuse or excessive use of the Services.
The User represents and warrants not to use the Services:
The User agrees not to sell, license, distribute, copy, record, modify, publicly perform or display, transmit, publish or republish, including republication on another website, edit, adapt, create derivative works from, or otherwise make use of the Services that are not considered the User's propriety.
In no event shall we be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.
You agree to respect and not to violate the advertising protection status of company data returned by the API.
You are not allowed to use the Services, in any way where you, among other things: a) charge fees for special features such as name search, b) charge fees for displaying information that you have received from Companyscout.
You agree to defend, indemnify and hold harmless Companyscout and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, or b) a breach of these Terms.
We provide the Services on an "as is" and "as available" basis, and we make no guarantees, representations or warranties, express or implied, regarding the Services. Your use of the Services is at your sole risk.
All intellectual property rights in the Services, including but not limited to copyright, trademarks, and patents, are owned by or licensed to Companyscout. You are not granted any rights to or interest in the Services, and you agree not to infringe upon any intellectual property rights related to the Services.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, at our sole discretion, for any reason whatsoever, including, but not limited to, a breach of these Terms. You may terminate your use of the Services at any time. However, any paid subscription fees will not be refunded upon termination.
These Terms shall be governed and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.
